What is a
Mortgage Investment Entity?
Mortgage Investment Entity?
A Mortgage Investment Entity also known as an MIE, acts as a private lender and provides lending options for residential or commercial property borrowers who are not eligible for traditional financing. These borrowers come to a private lender, such as Uptown, by way of a Mortgage Agent or Broker and receive real estate secured financing.
How Does It Work
Investing with Uptown Financial offers the potential for higher returns through interest income, especially when mortgage rates are favorable, offering a more attractive yield compared to traditional investments. This approach also provides greater control over the investment, allowing the investor to negotiate terms and repayment schedules that align with their financial goals. Additionally, private mortgages enable diversification of the investment portfolio, thereby reducing overall risk, and offer the opportunity to tailor loan conditions to meet both borrower and lender needs.
The passive income generated from interest payments can provide a relatively predictable cash flow, and the property collateral offers security, minimizing the risk of loss. Furthermore, investing through Uptown Financial allows entry into real estate without the burdens of direct property management. With the right due diligence and strategic selection, private mortgage investments can be a valuable addition to your financial portfolio.
WHO MANAGES THE MIE?
The Uptown MIE will have a fund manager who is responsible for all aspects of the mortgage portfolio operations. They will source out suitable mortgage investments, deeply analyze mortgage applications, and negotiate interest rates, terms and conditions. The mortgage portfolio is continuously managed with newly invested shared capital and the proceeds from repaid and discharged mortgages are used to fund new mortgages.
The goal of an MIE is to lend out money and charge an interest rate that is high enough to cover the expenses of operating the MIE, and the dividend payments to investors.
Until now, investing with an MIE has been out of reach to the average investor, and only accessible to high net-worth individuals. Uptown has developed a friends and family fund which allows us to share this investment opportunity.

FAQ’s
Private mortgage investing can offer attractive returns, often higher than traditional fixed-income products. Investors earn interest income secured by real estate, which can provide both stability and consistent cash flow. However, like any investment, there are risks — including borrower default, property market fluctuations, and liquidity limitations. At Uptown, we help you assess these factors carefully and structure investments with strong security and risk mitigation in place.
Private mortgage investments are typically available to individuals with access to capital who are looking for alternative investment opportunities. This includes accredited investors, corporations, and those with registered funds (like RRSPs or TFSAs) depending on the structure. If you’re unsure whether you qualify, our team can walk you through the requirements and help determine if this strategy fits your financial goals.
Private mortgages are secured directly against real estate, meaning your investment is backed by a tangible asset. At Uptown, we take it a step further by providing a General Securities Agreement, a term note, and registering a PPSA (Personal Property Security Act) charge against Uptown Financial Inc. This layered approach helps protect your capital and gives you added peace of mind.
